Terms of Service

By creating an account or using our Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

De La Table provides a restaurant management platform that includes:

• —Online reservation system
• —Table management tools
• —Guest Marketing (included in paid plans)
• —Card guarantees against no-shows (add-on)
• —Email notifications
• —Analytics and reporting
• —Booking widget integration
• —Calendar management

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.

To use certain features of our Services, you must create an account. When creating an account, you agree to:

• —Provide accurate, current, and complete information
• —Maintain the security of your password and account
• —Promptly update your information if it changes
• —Accept responsibility for all activities under your account
• —Notify us immediately of any unauthorized use

Plans & Modules

• —De La Table Free — $0: your first 35 bookings in total, no card required
• —De La Table Pro — $29 to $59/month depending on your number of tables: $29 up to 10 tables, $39 for 11 to 25, $49 for 26 to 50, $59 for 51 to 100, on quote above that (unlimited bookings + full CRM)
• —Guest Marketing — Included in all paid plans
• —Card guarantee — $10/month
• —Automatic review requests (Pro subscribers) — $5/month

Restaurant subscriptions are billed in US dollars via Stripe by credit card. When you subscribe, you are charged today for the days up to the next 15th of the month, then the full month on every 15th. There is no contract and no per-cover fee. Guest-facing payments (deposits, no-show charges) are processed via Stripe Connect through each restaurant's own connected Stripe account. De La Table does not hold guest payment funds.

All prices are in US dollars (USD) and exclude applicable taxes; where sales tax, VAT or a similar tax applies, it is added to the invoice. We may change prices with 30 days’ notice to active subscribers.

You may cancel your subscription at any time through your account settings. Upon cancellation:

• —Your subscription will remain active until the end of your current billing period
• —You will not be charged for subsequent billing periods
• —No partial refunds will be provided for unused time in the current period
• —Your data will be retained for 30 days after cancellation

You agree not to use our Services to:

• —Violate any applicable laws or regulations
• —Infringe on the rights of others
• —Transmit malware, viruses, or harmful code
• —Attempt to gain unauthorized access to our systems
• —Interfere with or disrupt the Services
• —Scrape or collect data without permission
• —Use the Services for fraudulent purposes

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, software, and the overall design, are owned by NICKLAS SARL and protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

To the maximum extent permitted by law, De La Table and NICKLAS SARL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our Services.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts of Bayonne, France.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on our website or sending you an email. Your continued use of our Services after such changes constitutes your acceptance of the new Terms. Assignment: NICKLAS SARL may assign or transfer these Terms, and your subscription, to a company it controls or that is under common control with it (including a future US company); we will tell you by email before it happens, and your price and data stay the same.
